Genki Content Studios — Studio & Content Shoot Terms

DEFINITIONS
“Genki Content Studios” (“Genki”, “we”, “us”, “our”): [Company name and registered address].
“Client”: Any person, company, or representative booking or using our studio, services, or equipment.
“Studio”: Any Genki premises, sets, facilities, and shared areas.
“Equipment”: All studio fixtures, lighting, grip, props, sets, and any gear provided by Genki.
“Booking”: The agreed date(s) and time(s) the Client has secured with cleared payment.
“Shoot Services”: Any filming, photography, audio, or content production by or at Genki.
“Deliverables”: One edited reel aligned with the pre‑shoot brief (no revisions) and, if the Client is not satisfied with that edit, a copy of the raw files for the Client’s own editing.
By placing a Booking, the Client accepts these Terms.
BOOKING CONFIRMATION
A Booking is confirmed only when cleared full payment is received.
Quotes are valid for 14 days unless stated otherwise.
2. BOOKING TIME
Hire starts and ends strictly at the confirmed times. Late arrival does not extend the session.
Late exit fee: £25 if you overrun any part of your slot. Overruns beyond 15 minutes may also be charged as a further hour at our current rates, plus the £25 late exit fee.
3.SETUP & TAKEDOWN
Setup and takedown must be completed within your hired time. Exiting late triggers the late exit fee above.
4. CONDITION OF STUDIO
Leave the Studio and any shared spaces as found. Return moved items to original positions.
Extra cleaning (spills, glitter, confetti, body oils, food/drink mess, paint, smoke effects, etc.) may incur a £45 cleaning fee or actual cost if higher.
Backdrops damaged or excessively soiled are charged at £10 per metre (or actual replacement cost if higher).
5. INSURANCE & SAFETY
The Client is responsible for public liability insurance covering all persons in the Studio for the duration of the Booking.
The Client is responsible for allergies, consumables, and perishable items brought in, and for safe use/storage.
We may halt activity if safety, legal, or building rules are at risk. Time lost due to safety halts is not refundable.
6. STUDIO RULES & EQUIPMENT USE
No smoking or vaping anywhere indoors. Breach may result in immediate termination without refund and cleaning/odour remediation charges.
Use Equipment as intended; do not modify, dismantle, or remove it from the premises without written consent.
Return all Equipment at end of hire in the same condition. All equipment is subject to availability.
7. BREAKAGES, LOSSES & DAMAGES
The Client is liable for any damage, loss, or theft involving the Studio, Equipment, sets, fittings, or shared areas occurring during the Booking.
Report issues before you leave. Unreported damage found after may still be charged.
We may charge the card on file or invoice for repair, replacement, labour, and reasonable associated costs.
Genki is not liable for Client property, props, media, or for consequential losses (including lost profits) due to any failure, outage, or unavailability of the Studio or Equipment.
Keys/fobs provided for re‑entry must be left as instructed. Missing key/fob fee: £20 plus any lock/fob replacement costs if required.
8. BOOKING CHANGES & CANCELLATIONS
7 or more days’ notice: reschedule once at no charge, or cancel for a full refund.
72 hours to fewer than 7 days’ notice: reschedule once at no charge, or cancel with full refund.
48 hours to fewer than 72 hours’ notice: reschedule with a rebooking fee equal to 50% of the original booking fee, or cancel with 50% refund (half of the booking fee is retained).
Fewer than 48 hours’ notice: no reschedule accepted and no refund (the full booking fee is retained).
Only one reschedule permitted per Booking; further changes are treated as cancellations based on the original date.
No refunds for transport delays, weather, illness, personal circumstances, or other issues outside our control.
If Genki cannot fulfil a Booking, we will offer a new time; if none is suitable, a 100% refund is provided. This is the Client’s sole remedy.
Breach of Sections 6, 9, or 10 may result in cancellation without refund.
9. CONDUCT
Aggressive, malicious, discriminatory, or disrespectful behaviour toward staff or other occupants may result in immediate termination, removal from premises, and future booking bans without refund.
10. NOISE
Keep noise to a reasonable level. Be considerate of other occupants and neighbours. Persistent breaches may lead to termination without refund.
11. CONTENT SHOOT TERMS (SCOPE, PERFORMANCE, EDITS, RIGHTS)
11.1 Scope & Deliverables
The scope (dates, crew, deliverables, formats, usage, timelines) is defined in the signed Invoice. Items not listed are out of scope and may require a change order at current rates.
Deliverables include one edited reel aligned with the pre‑shoot brief and conversations. The edit is provided as a bonus alongside the content shoot, not as a service with revision rounds.
11.2 No Guarantees on Performance
We do not guarantee specific performance outcomes (views, reach, engagement, conversions, sales, ROI, rankings, CPM/CAC/ROAS). Results depend on factors outside our control (audience, platform algorithms, approvals, ad spend, targeting, timing, competition, subsequent edits/usage by the Client).
Any case studies, benchmarks, or forecasts are illustrative only and not promises.
11.3 Reviews, Edits & Approvals
No revisions are included. Genki will deliver one edited reel aligned with the brief and pre‑shoot discussions.
If the Client requests changes, they constitute a new, chargeable service at Genki’s current rates and are subject to availability.
If the Client is not satisfied with the edited reel, Genki will provide the raw files for the Client’s own editing. Delivery of raw files satisfies Genki’s editing obligation for the Booking/SOW.
11.4 Raw Files: Delivery & Access
Upon full payment, raw files will be supplied via download link within [3–5] business days of request/notification. The link will remain active for 28 days.
Re‑delivery or extended access may incur an admin fee of £25.
11.5 Client Materials, Rights & Compliance
The Client warrants it owns/has licences for all materials it supplies (logos, music, footage, images, trademarks, claims, products) and that they comply with applicable law and platform policies (including ASA/CAP codes and disclosure of sponsorship where required).
The Client grants Genki a licence to use Client materials solely to deliver the Shoot Services.
11.6 Ownership & Usage of Deliverables
Unless otherwise stated in the SOW (statement of work):
The Client receives a non‑exclusive, worldwide, perpetual licence to use the final edited reel and the raw footage for the media/platforms specified in the SOW for the Client’s own marketing.
Project files and working assets (e.g., edit timelines, LUTs, presets, After Effects/Premiere project files) are not included and remain Genki’s property unless purchased separately.
Genki retains pre‑existing IP, know‑how, templates, and tools used in production.
11.7 Promotional Use by Genki
The Client grants Genki a non‑exclusive, worldwide licence to use behind‑the‑scenes content, on‑set stills, and the final deliverables created under the Booking/SOW for Genki’s own promotional purposes only (website, social media, showreels, pitch decks, and portfolio), after the Client’s first public use.
If the Client requires an embargo, they must notify Genki in writing before the shoot; Genki will observe an embargo of up to [6] months from final delivery unless otherwise agreed.
This licence does not permit resale, sublicensing to third parties, or endorsement claims; it is limited to showcasing Genki’s work.
11.8 Delivery, Storage & Re‑Exports
Default delivery: vertical video for social media as an .mp4 file, 1080x1920 resolution (Full HD), 30fps, with standard platform‑safe audio.
Source capture: filmed on iPhone using its native camera settings.
Additional versions (e.g., square 1:1, landscape 16:9, different frame rates or resolutions, burned‑in captions, or alternate file types) are not included unless listed in the SOW and may incur additional fees.
Delivery method: download link provided after full payment. Links remain active for 28 days; re‑delivery or extended access may incur a £25 admin fee.
11.9 Platform Dependencies
Distribution, approvals, and performance are subject to third‑party platforms (Meta, TikTok, YouTube, etc.) and are outside Genki’s control. Policy changes, outages, and ad/account issues may affect timelines and results.
FEES, PAYMENT & OVERTIME
Deposits/retainers (a standard 50%) are non‑refundable unless Genki cancels per Section 8.
Balance is due 72 hours (3days) prior to studio usage or content shoot date from final invoice unless otherwise agreed in writing.
Late payments may accrue interest at the lesser of 1.5% per month or the maximum allowed by law, plus reasonable collection costs.
Overtime, extended hours, extra locations, added crew, and unplanned changes are billed at current rates.
LIMITATION OF LIABILITY
To the fullest extent permitted by law:
The Studio, Equipment, and services are provided “as is” and “as available.”
Genki will not be liable for indirect, incidental, special, consequential, or exemplary damages (including lost profits, data loss, business interruption, reputational harm).
Genki’s total aggregate liability arising out of or in connection with a Booking or SOW is capped at the fees actually paid for the specific Booking/SOW in the 3 months prior to the event giving rise to the claim.
INDEMNITY
The Client will indemnify and hold harmless Genki, its staff, and contractors from claims, losses, and costs arising from: (a) Client materials or instructions; (b) breach of these Terms or law; (c) failure to obtain required rights/releases/permits; (d) property damage or personal injury caused by the Client’s acts or omissions.
FORCE MAJEURE
Neither party is liable for delays or failures caused by events beyond reasonable control (e.g., severe weather, strikes, illness, power/internet/platform outages, governmental action). Non‑recoverable third‑party costs may still apply.
VARIATIONS
These Terms may change. The version in force at the time of Booking applies. Material changes will be shown on our website.
GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of England and Wales. The courts of [England and Wales / your city] have exclusive jurisdiction.
